1. Acceptance & Services Overview

Welcome to Aim High("Aim High," "Company," "we," "us," or "our"). By accessing our website, booking a discovery consultation, entering into a service agreement, or utilizing any of our custom AI automation, software development, or digital marketing services, you ("Client," "Customer," or "you") agree to be legally bound by these Terms of Service ("Terms").

Aim High provides professional AI engineering, automation deployment, and marketing solutions, including but not limited to:

  • AI Voice Agents: Low-latency conversational voice bots for inbound/outbound call handling, qualification, appointment scheduling, and CRM syncing.
  • AI Chatbots & RAG Systems: Knowledge base chatbots powered by Retrieval-Augmented Generation (RAG) and knowledge graphs across web, WhatsApp, Slack, and Telegram.
  • Search & AI Engine Optimization (SEO & AEO): Search engine optimization and AI query optimization for Google Search, Google Maps, ChatGPT, Claude, and Gemini.
  • Web Development: Custom Next.js and Astro web applications engineered for speed, conversion, and search indexing.
  • AI Personal Assistants & Workflow Automations: Parallel AI agents running on VPS or local hardware with persistent memory for email management, research, and CRM updates.
  • SMS & Email Marketing: Automated follow-up campaigns, missed-call text-back systems, and transactional messaging pipelines.
  • Social Media Management & AI UGC Video: Content generation pipelines and synthetic video production.
  • Reputation Manager: Automated review collection campaigns and feedback routing systems.

2. Quality Oversight, Maintenance & AI Technology Disclaimer

Aim High Quality Oversight Commitment: For Clients subscribed to an active Monthly Retainer or Maintenance plan, Aim High actively monitors system health, performs ongoing quality assurance audits, refines prompt instructions, updates knowledge bases, and oversees performance to ensure your automations operate smoothly and reliably.

Probabilistic Nature of AI Technology: You acknowledge that artificial intelligence technologies, Large Language Models (LLMs), natural language processing algorithms, and generative media operate on probabilistic machine learning models. While Aim High implements strict system instructions, verification guardrails, and ongoing quality supervision:

  • AI agents, chatbots, and voice bots are not 100% error-free and may occasionally generate unexpected, imprecise, or inaccurate responses ("hallucinations").
  • The Client maintains ultimate responsibility for reviewing and auditing domain-critical legal, financial, or medical decisions produced within their business operations.
  • Statutory Warranty Disclaimer: Pursuant to Florida Uniform Commercial Code Fla. Stat. § 672.316 (Exclusion or Modification of Warranties), all AI systems and automations are provided with the express performance metrics set forth in your agreement, but without implied warranties of merchantability or fitness for a particular purpose beyond agreed specifications.

3. Scope of Work, Retainer Hour Caps & One-Time Buyout Terms

To protect both parties, ensure clear expectations, and prevent unauthorized scope creep, all work performed by Aim High is governed by the specific Scope of Work (SOW), Proposal, or Implementation Plan agreed upon during onboarding under Florida contract principles.

  • Monthly Retainer Scope: Monthly maintenance subscriptions cover ongoing server hosting management, routine system monitoring, bug fixes, quality oversight, and a specified baseline allocation of monthly support hours as defined in your agreement.
  • One-Time Buyout / Purchase Option Maintenance Waiver: For Clients who choose to buy their workflow, software, or automation build outright as a one-time purchase (instead of subscribing to a monthly retainer plan), Aim High's maintenance obligation concludes in full upon deployment, testing, and final project handoff. Aim High is under no obligation to provide any post-handoff maintenance, bug fixes, hosting management, updates, or troubleshooting unless the Client separately purchases an ongoing Monthly Maintenance plan or signs a new SOW.
  • Third-Party Ecosystem Changes for Buyouts: Aim High is not responsible for maintaining or fixing bought-out workflows if an underlying third-party software, API (e.g., OpenAI, Twilio, Anthropic, Meta), CRM, or tool updates, deprecates features, or undergoes downtime post-handoff. Any post-handoff updates or maintenance requested by a buyout Client will be billed at Aim High's standard hourly rate or scoped under a new paid SOW.
  • Out-of-Scope Work & Hour Caps: Retainer subscriptions do not constitute unlimited labor. Major feature additions, system redesigns, new workflow integrations, or support requests exceeding the agreed baseline monthly allotment require a separate Statement of Work (SOW) or will be billed at Aim High's standard hourly rate with prior written client approval.
  • Protection Against Unjust Enrichment: Under the legal doctrine of quantum meruit and Florida contract principles, Aim High is not obligated to perform labor beyond agreed retainer scopes without additional compensation.
  • Fair Use Policy: Aim High reserves the right to re-evaluate, throttle, or adjust monthly retainer terms if a Client's support volume or operational demands exceed reasonable industry bounds.

4. Intellectual Property & Statutory Ownership Rights

Intellectual property rights are governed by the U.S. Copyright Act (17 U.S.C. § 101 et seq.) and the Florida Uniform Trade Secrets Act (Fla. Stat. § 688.001 et seq.) based on the selected pricing model:

  • One-Time Purchase Buyout Option: Clients who select the one-time buyout option acquire full ownership rights to their custom code, workflow scripts, and bespoke automation builds upon receipt of full final payment. Aim High retains ownership of pre-existing core frameworks, proprietary developer tools, and underlying code libraries. As outlined in Section 3, ongoing maintenance is not included post-handoff unless a separate retainer is active.
  • Monthly Retainer Option: Clients on a recurring monthly retainer plan are granted a revocable, non-exclusive, non-transferable license to access and utilize the deployed automations for the duration of their active, paid subscription. Proprietary system builds remain the intellectual property of Aim High.

5. AI Credits, Pass-Through Fees & Billing Transparency

In accordance with the Florida Deceptive and Unfair Trade Practices Act (FDUTPA, Fla. Stat. § 501.201 et seq.), billing structures and pass-through costs are fully transparent from the outset:

Third-party operational costs—including Large Language Model (LLM) API tokens (e.g., OpenAI, Anthropic, Google), telephony voice bot call minutes, SMS/MMS carrier charges (Twilio, Telnyx), and cloud database usage—are pass-through expenses billed directly to or maintained by the Client.

Clients are responsible for maintaining active API credit balances or paying invoiced pass-through costs promptly. Aim High is not responsible for service downtime caused by unpaid third-party provider accounts or exhausted API balances.

6. Strict Refund Policy & Post-Cancellation Work Waiver

Because our services involve extensive custom engineering, dedicated developer labor, and upfront infrastructure provisioning:

  • Strict Non-Refundable Policy: All payments, setup fees, engineering deposits, and monthly retainers are strictly non-refundable once custom development or service deployment has commenced.
  • Limited Breach Exception & 30-Day Cure Period: A refund will only be evaluated in the event of a proven material breach of contract solely attributable to Aim High that directly causes documented financial loss to the Client, and only after the Client provides formal written notice outlining the breach and grants Aim High a mandatory thirty (30) day cure period to remedy the issue under Florida commercial law.
  • Non-Refundable Third-Party Costs: Completed labor hours, AI credit consumption, telephony carrier charges, domain purchases, and third-party software licensing fees are strictly non-refundable under all circumstances.
  • Contract-Free Flexibility: Monthly retainer plans carry no long-term lock-in contracts. You may cancel your subscription at any time prior to your next recurring billing date.
  • Post-Cancellation Work Waiver: Upon cancellation, termination, or non-renewal of a Client's monthly subscription retainer (or upon final completion and handoff of a one-time project), Aim High's support, monitoring, and maintenance obligations immediately cease in full. Aim High is under no obligation to perform any work, troubleshooting, bug fixes, updates, or repairs if a tool, website, software, voice bot, API, or automation encounters errors, downtime, or breaks after cancellation. Any post-cancellation assistance requested by a former Client requires re-engagement under a new paid agreement or SOW.

7. Third-Party Platform Rules & Client Violation Non-Liability

Clients utilizing Aim High automations, web applications, and marketing pipelines agree to comply fully with all applicable federal, state, and third-party platform rules:

  • Client Rule Compliance Responsibility: The Client is solely responsible for ensuring their business content, communications, and practices comply with the terms of service, policies, and guidelines of all third-party platforms utilized in connection with our services (including but not limited to Google Business Profiles, A2P 10DLC mobile carrier messaging rules, Meta/Instagram/TikTok guidelines, WhatsApp/Slack terms, OpenAI/Anthropic policies, Yelp guidelines, search engine webmaster guidelines, and hosting/DNS providers).
  • No Obligation to Fix Client-Caused Policy Violations: If a Client's account, profile, business listing, or campaign is suspended, penalized, flagged, shadowbanned, or terminated due to the Client's non-compliant content, policy breaches, unauthorized messaging, spamming, or violation of third-party rules, Aim High is under no obligation to perform free remediation, appeals, account restoration, or re-building work. Remediation of client-caused violations is the Client's sole responsibility, and any technical assistance provided by Aim High will be billed separately under a new Statement of Work (SOW) or hourly billing.
  • Telephone Consumer Protection Act (TCPA, 47 U.S.C. § 227 & 47 C.F.R. § 64.1200): Clients warrant that all phone numbers utilized for automated voice agents, SMS follow-ups, or missed-call text-backs have been obtained with valid prior express written consent.
  • CAN-SPAM Act (15 U.S.C. § 7701 et seq.): Clients warrant that email campaigns contain accurate header information, physical address disclosures, and functional unsubscribe mechanisms.
  • CTIA & A2P 10DLC Standards: Automated messaging systems must adhere to 10-Digit Long Code (10DLC) carrier registration standards and CTIA messaging guidelines. Aim High manages registration technical setup during onboarding.
  • Prohibited Conduct: System usage for illegal activities, spamming, fraudulent representations, or deceptive practices is strictly prohibited. Aim High reserves the right to terminate access immediately without refund for non-compliant conduct.

8. Search Engine & AI Query Indexing Disclaimer

While Aim High deploys modern Search Engine Optimization (SEO) and AI Engine Optimization (AEO) strategies, rankings and recommendations on search engines and conversational AI platforms (Google Search, Google Maps, ChatGPT, Claude, Gemini) are determined by proprietary third-party algorithms. Aim High makes no guarantee of specific numerical rankings or permanent position placements due to external algorithmic updates beyond our control.

9. Statutory Limitation of Liability & Indemnification

Pursuant to Fla. Stat. § 672.719 (Contractual Modification or Limitation of Remedy):

To the maximum extent permitted by applicable law, Aim High, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages—including loss of revenue, profits, data, or operational downtime—arising out of or related to your use of our services or AI systems.

Aim High's total aggregate liability for any claims arising under these Terms shall be strictly limited to the actual amount paid by the Client to Aim High in the three (3) months preceding the event giving rise to liability.

The Client agrees to defend, indemnify, and hold harmless Aim High against any third-party claims, administrative penalties, or legal fees resulting from the Client's breach of these Terms, third-party platform policy violations, or non-compliant business operations.

10. Governing Law, Choice of Forum & Severability

Pursuant to Fla. Stat. § 685.101 & § 685.102, these Terms shall be governed by and construed under the laws of the State of Florida. Any legal action or judicial proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida.

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
